This English text is a convenience translation of the German version. The German version prevails (section 12).
1. Who These Terms Apply To
These Terms of Use apply to every person who uses the Envolva software. The provider is Kahriman GmbH, Ferdinand-Wallbrecht-Str. 34, 30163 Hanover, Germany ("Envolva"). They apply to users at companies that bought Envolva directly and to users at companies that use Envolva through a Partner.
You use Envolva for your company or organization, not as a consumer.
If your company bought Envolva directly from Envolva, Envolva's General Terms and Conditions (GTC) also apply between Envolva and your company. If the two conflict, the GTC prevail.
2. Use Through a Partner
If a Partner gave your company access to Envolva:
- The contract, prices, invoices, renewal and support exist only between your company and the Partner. Envolva has no contract with your company for these services and owes you no services.
- The Partner decides which workspaces and functions you can use, and for how long. The Partner can work in the workspaces it set up for your company.
- Please send questions about access, functions, invoices and support to your Partner.
These rules apply to every Envolva Partner.
3. Account and Access
Your account is personal. Do not share your login details, and protect your account with a strong password or a passkey. If you suspect that someone is misusing your account, report it at once to info@envolva.de. Envolva may suspend an account if there is a security risk or if someone breaches these Terms.
4. Permitted Use
You use Envolva only for your company's reports and only to the extent enabled for you. In particular, you must not:
- circumvent security or access restrictions,
- reverse engineer the software or scrape data automatically,
- overload the software or upload malware,
- post unlawful content,
- pass your access on to other people.
5. Your Input
Your company is responsible for the accuracy and completeness of the input. Envolva calculates with what is entered; wrong input leads to wrong results. Check the results before you mark a report as ready for review or pass it on. Enter personal data only to the extent the report needs it.
6. AI Functions and Text Suggestions
Some functions use artificial intelligence (AI): Helphy, text suggestions in reports and in the DMA, the reading of uploaded evidence, and the matching of emission factors.
- Helphy is an AI assistant. Its answers are generated by an AI model, not by a person.
- AI results are suggestions and can be wrong. Envolva labels texts proposed by an AI as text suggestions.
- You decide on every suggestion: you apply it, discard it or rewrite it. Your company carries the editorial responsibility for texts you adopt.
- If your company publishes texts generated by an AI, it checks whether it must disclose this.
7. Independent Auditors
The GHG Report is audited and signed by independent auditors. They are independent companies, not Envolva employees. They decide independently on professional matters and are themselves responsible for their audit and their signature. For the audit, they access the workspace. The Sustainability Report has no audit and signature step.
8. Availability and Changes
Envolva endeavors to keep the software available but does not owe you any particular availability. Maintenance, updates and disruptions can interrupt use. Envolva may change, replace or remove functions.
9. Liability
Envolva is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and to the extent Envolva has given a guarantee. For slight negligence, Envolva is liable only if an essential obligation is breached, and only for the foreseeable, typical damage. Otherwise, liability is excluded to the extent the law permits.
If you use Envolva through a Partner, Envolva is liable to you only for intent and gross negligence and in the cases of unlimited liability in the first sentence.
For companies that bought Envolva directly, the liability rules of the GTC apply.
10. Data Protection and Access
How Envolva processes personal data is described in the privacy policy. Envolva processes data on behalf of your company under the data processing agreement.
Envolva staff access workspaces for support and operations, including by switching into a user's view. The independent auditors access the workspace to audit the GHG Report.
11. Acceptance and Changes
You accept these Terms of Use at your first login. Envolva stores which version you accepted and when. If Envolva changes the Terms, Envolva shows you the new version at your next login. Once you accept it, you continue to use Envolva; without acceptance, further use is not possible.
12. Law, Jurisdiction and Language
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Hanover to the extent permitted by law. These Terms exist in German and in English; the German version prevails.
